Terms of service

These terms apply when you enquire about or buy websites, SEO, ads or care work from The Gists. They are written for a small studio, not as a substitute for legal advice.
Who we are

What we sell
We plan and build websites, shops and SaaS, run SEO and paid campaigns, and maintain sites after launch. Prices on the site are “from” amounts excluding tax. The final scope, price and dates are written in the proposal you accept.
Ad campaign fees are management fees. Media spend (Google, Meta and similar) is billed by those platforms separately unless we agree otherwise in writing.
How a project starts
A contact form or call is not a contract. Work starts when both sides accept a written plan: what is included, what it costs, and when demos or launches happen.
You are responsible for providing content, access and decisions we need. Delays on your side can move dates.
Payment and cancellation
Invoices are due as stated on the proposal, typically a start payment then the rest on delivery or monthly for care and ads management.
Either side may stop unused future work with written notice. Work already delivered or hours already spent remain payable. Domain, hosting and third-party licences billed through us follow the supplier’s terms.
Intellectual property
After invoices for a deliverable are paid, you own the custom work we created for you (copy, unique design, custom code) unless the proposal says otherwise.
We keep the right to reuse generic methods, components and know-how. Third-party tools, fonts, stock and open-source libraries stay under their own licences. We may show the live site in our portfolio unless you ask us not to in writing.
Liability
We work carefully but do not guarantee search rankings, ad results, or uninterrupted hosting from third parties. Our liability is limited to the fees you paid us for the affected work in the three months before the claim, except where Lithuanian law does not allow a limit (for example death, personal injury or intent).
Privacy and cookies are described on the privacy page. Lithuanian law applies. Disputes are handled in Vilnius courts unless mandatory consumer rules say otherwise.
